Shanghai Diamond Exchange
Membership lnformation. (Proposed)
A. Critcria for appIication:
(a) Any diamond business duly registered in Mainland
China with independent legal entity.
(b) Has been involved in the import, export, wholesale.
retail or manufacturing of diamonds and/or diamond jewellery
for not less than three consecutive years (including
three years) immediately preceding the application.
(c) With good business record and credit proof,
(d) With written support from two formal members.
(e) Willing to observe and abide by the regulations
and disciplines of the Exchange.
B. Formal members and preparatory members
Any applicant who has applied for membership of the
Exchange in the prescribed manner and whose application
has been approved by the Council shall become preparatory
member for two years. Upon expiry of the preparatory
period, preparatory members may become formal members
with the approval of the Council. The Council has the
right to extend the preparatory period of a preparatory
member for a further 6 months or one year. The Council
also has the rlght to cancel the memhership of a preparatory
member at any time during his preparatory period.
C. Appucation
Applications for membership of the Exchange shall be
made and process in the following manner:
(a) Completed application form shall be suhmitted with
all references and documents as
required.
(b) Information about the application and the applicant
sball be posted at the Exchange for 30 days.
(c) If no adverse comment on the application/pplicant
is received by the Council within 30 days for the prsting,
the Council shall consider the application according
to the above criteria and approve ot disapprove the
application for membership.
(d) Upon being approved as member of an applicant, the
Exchange shall register his membership details,issue
to him membership certificate and publish his name as
a new member.
(e) If an application for membership is not approved
by the Council,the applicant may submit a new application
after one year.
D. Members' Representative
A member shall for the purpose of conducting diamond
business in the Exchange appoint a Member Representative
to be the authorized representative of such member.The
Member shall submit written notice of appointment of
the Member Representative and of any change thereof
to the Exchange and the Administration.
Qualification of Member Representation:
(a) Has been involved in the import,wholesale,retail
or manufacturing of diamonds and/or diamond jewellery
for not less than three consecutive years(including
three years)immediately preceding the appointment.
(b)Proof of clean business record and good behavior.
Members should have an authorization agreement with
their Representative and undertake full business responsibility
for their representative.
Members should immediately notify the Exchange and the
Administration in writing of any changes with regard
to the appointment and/or authorization of their repressentatives.
E.Rights
Members shall be entitled to:
(a) the right to attend membership conference;
(b) the right to trade at the Exchange,to use all facilities,enjoy
all services and receive all information provided by
the Exchange to Members;
(c) the right to suggest revision to trading regulations
and management system;
(d) the right to raise adverse comment on and/or objections
to any application for membership;
(e) the right to elect and be elected as members of
the Conference from time to time.
Items(e) (f) (g)above are not applicable to preparatory
members.
F.Obligations
Members should undertake to:
(a) abide by all relevant rules and regulations of the
Exchange;
(b) be willing to be supervised and administered by
the Exchange and relevant authorities.
(c) undertake full business responsibility for their
Representative;
pay the following fees in time:
--Entrance fee USD$20,000
--Annual subscription USD$4,000(for Council Members)
and USD$3,000(for ordinary members)
(d) any other relevant obligation.
G.Transfer of Membership
An applicant for membership may become a preparatory
member through the transfer of membership subject to
the satisfaction of the following;
(a) The applicant should meet the requirements for membership
as stipulated in A above.The entrance fee can be waived
upon transfer.
(b) The applicant should have an agreement of transfer
with the transferring member.
Transfer of membership should following the procedures
presscribed i C above.
H.Termination of membership
A member shall cease to be a member if
(a) he has resigned his membership and the resignation
has been accepted by the Council;
(b) his membership has been cancelled by the Exchange:
(C) THE Council does not agree to maintain his membership
upon changes in the shareholding of enterprise represented
by the member;
(d) the enterprise represented by the member is dissolved,closed
or declared bankrupted.
Where a member ceases to be a member under Article H
above shall clear up all business transaction,rights
and liabilities with regard to the Exchange and its
members within the required period.
